By accessing or using any products or services provided by Rayzen Technologies (“Company,” “we,” “our”), including the Agently mobile application and our websites, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Rayzen Technologies provides software products designed to facilitate and automate mobile money transactions and related financial services in Africa. Our flagship product, Agently, is a mobile application that automates USSD-based mobile money transactions for agents.

3. User Accounts

To use certain features of our services, you may be required to create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Engage in fraudulent or deceptive activities
• Interfere with or disrupt the operation of our services
• Attempt to gain unauthorized access to our systems
• Transmit malware, viruses, or other harmful code
• Use automated means to access our services without our consent

5. Intellectual Property

All content, features, and functionality of our services — including but not limited to software, text, graphics, logos, and trademarks — are owned by Rayzen Technologies and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

6. Transaction Processing

Our products facilitate the processing of mobile money transactions. While we strive for accuracy and reliability, we are not a financial institution and do not hold funds on your behalf. Transaction processing is subject to the terms and conditions of the respective mobile money operators.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Rayzen Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

8. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes through our services or by other means. Your continued use of our services after such changes constitutes your acceptance of the modified terms.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.
